These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GoShowroom.ai (“Company,” “we,” “us,” or “our”) governing your access to and use of the GoShowroom.ai website, applications, AI systems, marketplace tools, and related services (collectively, the “Platform”).

1. ELIGIBILITY
You must be at least 18 years of age and legally capable of entering into binding contracts.
If you use the Platform on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. NATURE OF THE PLATFORM
GoShowroom.ai is an AI-powered digital infrastructure platform for fashion wholesale and retail commerce.
The Platform provides software tools including:
AI-powered visualization and rendering systems
Product data structuring and management
Digital showroom functionality
Marketplace listing and discovery tools
Communication features between users
Automation and analytics tools
The Company is a technology provider only.
The Company does not:
Manufacture products
Sell products
Take ownership of inventory
Act as broker or agent
Guarantee transactions
All transactions occur solely between independent users.
3. THIRD-PARTY INFRASTRUCTURE
The Platform may integrate or rely upon third-party service providers for AI processing, hosting, cloud storage, analytics, CRM systems, payment processing, shipping integrations, and related technical services.
The Company does not control and is not responsible for:
Third-party service interruptions
API failures
Security incidents originating from third parties
Vendor policy changes
Data loss caused by third-party systems
Your use of third-party services is subject to their respective terms.
4. AI SYSTEMS DISCLAIMER
The Platform may generate automated or AI-powered outputs, including but not limited to:
Product renderings
Model visualizations
Text descriptions
Data structuring
Recommendations
AI outputs are probabilistic and may:
Contain inaccuracies
Be incomplete
Resemble third-party content
Not meet commercial or regulatory standards
The Company makes no warranties regarding:

Reliability
Intellectual property non-infringement
Legal compliance
Commercial suitability
You are solely responsible for reviewing and validating all AI outputs before use.
AI services are provided “AS IS” and “AS AVAILABLE.”
5. MARKETPLACE DISCLAIMER
The Platform may facilitate wholesale and retail interactions between buyers and sellers.
The Company:
Does not verify user identity
Does not guarantee product authenticity
Does not guarantee delivery
Does not guarantee payment
Does not enforce private contracts
Users are solely responsible for:
Due diligence
Pricing agreements
Regulatory compliance
Taxes
Shipping
Import/export laws
Product liability
The Company is not liable for disputes between users.
6. USER CONTENT
Users may upload text, images, logos, product data, and other materials (“User Content”).
You represent and warrant that:
You own or have rights to your User Content
Your content does not infringe third-party rights
Your content complies with applicable law
You grant the Company a non-exclusive, worldwide, royalty-free license to host and process User Content for Platform operation.
We may remove content at our discretion.
7. INTELLECTUAL PROPERTY
All Platform technology, including:
Software
Databases
AI models
Algorithms
Data structures
Platform design
Branding
Are owned by the Company or its licensors.
You may not:
Reverse engineer
Copy
Extract data
Scrape
Train competing AI systems using Platform data
Unauthorized use may result in legal action.
8. PROHIBITED USE
You agree not to:
Violate any laws
Upload illegal or infringing content
Misrepresent products or identity
Interfere with security
Attempt to access restricted systems
Use the Platform to build competing systems
9. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, the Platform is provided:
“AS IS”
“AS AVAILABLE”
The Company disclaims all warranties, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted availability
Error-free operation
We do not guarantee business outcomes or revenue.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Company shall not be liable for:
Indirect damages
Consequential damages
Special damages
Loss of profits
Loss of revenue
Data loss
Business interruption
AI output errors
Infrastructure downtime
The Company’s total liability shall not exceed the greater of:
(a) $100 USD
or
(b) The amount paid by you to the Company in the preceding twelve (12) months.
11. INDEMNIFICATION
You agree to indemnify and hold harmless the Company and its officers, directors, employees, affiliates, and contractors from any claims arising from:
Your use of the Platform
Your User Content
Your transactions
AI outputs you deploy commercially
Your violation of these Terms
12. TERMINATION
The Company may suspend or terminate access at any time for:
Violation of these Terms
Security concerns
Legal compliance
Risk management
13. GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14. DISPUTE RESOLUTION & ARBITRATION
Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in California under the rules of the American Arbitration Association.
You agree to waive:
Jury trial rights
Participation in class actions
15. CHANGES TO TERMS
We may update these Terms at any time. Continued use after updates constitutes acceptance.
